TITLE
The Mayor and City Council shall discuss and possibly take action on approving an Amended and Restated License Agreement with Palo Verde Utilities Company, LLC/Global Water-Palo Verde Utilities Company and Santa Cruz Water Company, LLC/Global Water-Santa Cruz Water Company, and authorizing the City Manager to execute any necessary documents related thereto. AGENDA ITEM DESCRIPTION

The City of Maricopa first entered into a memorandum of understanding (MOU) with Global Water, LLC in 2005, which was amended and restated in 2011. In accordance with the 2005 MOU, the City entered into a License Agreement with Palo Verde Utilities Company, LLC/Global Water-Palo Verde Utilities COmpany and Santa Cruz Water Complay, LLC/Global Water-Santa Cruz Water Company in November 2006. The City Council of the City of Maricopa is now asked to consider an Amended and Restated License Agreement to better represent the current business practices. This approval does not impact the current MOU.

First, whenever Global Water performs construction of public right-of-way, they will be responsible for restoring said right-of-way to the City's current standard. Global Water will also be the responsible party for notifying the public at least 10 days prior to construction. Second, in the occasion of an emergency or upgrade work in the public right-of-way by Global Water, no City Right-of-Way or Inspection fees will be charged other than any City overtime or contractor costs related to this work.

This updated license agreement simplifies and clarifies the terms between the City of Maricopa and Global Water, which improves the already strong relationship between the two entities and clearly establishes roles and responsibilities.
